QORV operates as a professional B2B growth and digital transformation agency. Our capabilities include:

• Credibility Systems: Authority optimization, digital audits, UI/UX web design, and search engine optimization.
• Visibility & Content: Marketing automation, video editing/creation, and social distribution setup.
• Workflow & Automation: AI agent integration, API connections, custom lead flows, and database configuration.
• Consulting & Strategy: Strategic roadmap sessions and operations consulting.

Each engagement is governed by these Terms alongside a separate, custom Statement of Work (SOW) or proposal outlining specific deliverables, timelines, and budgets.

To deliver growth systems efficiently, we rely on active client collaboration. You agree to:

• Provide accurate, complete, and timely information, media assets, and credentials necessary for development.
• Review drafts and deliverables promptly to help us maintain project momentum.
• Represent that you own or have permission for any brand assets (logos, images, trademarks) provided to us for styling or content placement.

All project fees and billing schedules are set forth in your specific proposal or Statement of Work.

• Billing Terms: Typical contracts require an upfront deposit or setup fee prior to project kickoff, followed by milestone or recurring monthly retainer payments.
• Late Payments: We reserve the right to suspend development, hosting, or deployment triggers if invoices remain unpaid beyond their due dates.
• Refunds: Due to the custom, labor-intensive nature of business engineering, software development, and strategic consulting, fees paid to QORV are non-refundable unless explicitly specified in writing in your Statement of Work.

Ownership of code, designs, and content is distributed as follows:

• Client Deliverables: Upon receipt of full and final payment, the client receives ownership and intellectual property rights for custom components, copy, graphics, and pages built specifically for them under their Statement of Work.
• Pre-existing Property: QORV retains exclusive ownership of all pre-existing tools, libraries, code frameworks, automation templates, and methodologies used or incorporated during development.
• Platform Assets: All visual assets, logos, wordmarks, layout codes, and text on the QORV website itself (https://qorv.org) are the sole property of QORV LTD and may not be copied or reproduced without prior written consent.

You agree not to misuse our website or administrative endpoints:

• You must not probe, scan, or test the vulnerability of our administrative dashboards or databases.
• You must not execute automated scraping, content extraction, or DDoS attempts against our infrastructure.
• You must not submit fraudulent, malicious, or spam content through our contact booking forms or lead intake funnels.

To the maximum extent permitted by applicable law, QORV LTD, its directors, employees, or partners, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) our website or digital systems.
• Third-party networks, service provider outages, or Firebase offline fallback activations.
• Errors, omissions, or inaccuracies in any digital strategy or growth advice provided.

In no event shall QORV's total aggregate liability for all claims exceed the total fees paid by you to QORV during the twelve (12) month period immediately preceding the event giving rise to the claim.

These Terms of Service, along with any separate contract or Statement of Work, shall be governed by and construed in accordance with the laws of the **Federal Republic of Nigeria**, without regard to its conflict of law principles. Any legal action or proceeding arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Nigeria.

We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. When modifications are made, we will update the "Last Updated" date at the top of this page.
